How Much Does an LLC Cost in Pennsylvania?

The short answer: $125 to the state to form, plus a $7 annual report to stay in good standing. Form through StartBusiness24 and our filing service is a flat $30, shown separately below — so it's $155 at formation and $162 for the full first year, all in. Every figure on this page comes from the Pennsylvania Department of State's own published schedule.

Updated for the new annual report — most guides aren't

Pennsylvania replaced its old decennial report with an annual report under Act 122 of 2022. Plenty of guides still teach the repealed decennial system — if a page tells you Pennsylvania LLCs file once every ten years, it is out of date. The current rule: LLCs file an annual report (form DSCB:15-146) during the January 1 – September 30 window, every year. And the state has teeth now: administrative dissolution for non-filing begins with the reports due in 2027 — an old LLC that has never heard of this report is exactly the one at risk.

State charges and our service fee are always shown separately — before you pay, never blended into one mystery number. Prefer to file yourself? The state's own portal is Business Filing Services, reached through the PA Business One-Stop Hub, and the official help page for registering a PA domestic LLC is linked at the bottom of this guide.

Pennsylvania quirk: a registered office, not a registered agent

Pennsylvania does not use the named-registered-agent system most states use. Your filing lists a registered office — an actual Pennsylvania street or rural-route address (a P.O. Box alone is not sufficient). Instead of your own address, the law (15 Pa.C.S. §109) also lets you list a Commercial Registered Office Provider (CROP). If you buy the registered-agent add-on with your formation, that is the Pennsylvania version of it — ask us and we'll set the filing up the CROP way.

In a hurry? Expedited tiers

  • Same-day: +$100 — documents in before 10:00 a.m.
  • 3-hour: +$300 — documents in before 2:00 p.m.
  • 1-hour: +$1,000 — documents in before 4:00 p.m.

Expedited service is in-person only, never by mail, charged on top of the filing fee — and there is no expedited option for annual reports. For most formations, standard processing is the sane buy; the tiers exist for closings and deadlines.
